Parties

These Terms of Service ("Terms") govern the use of ChatAdsAI (chatadsai.com) and the provision of ChatGPT Ads management services by Palmidos Ltd, Israel ("Palmidos", "we") to the business ordering the services ("Client", "you"). By checking out online or signing a proposal, Client agrees to these Terms.

Services

Palmidos offers three service tiers:

1. Launch — a one-time engagement to set up ChatGPT Ads campaigns.
2. Starter / Managed — an ongoing monthly management service.
3. Scale — a custom engagement scoped to Client's needs and agreed separately.

The specific scope, deliverables, and fees for each engagement are set out in the online checkout flow or in a signed proposal.

Ordering

Client may order services either by completing checkout on the Site or by signing a proposal issued by Palmidos. Each order incorporates these Terms by reference.

Term and termination

1. Monthly services (Starter/Managed) begin with an initial term of 3 months from the start date.
2. After the initial term, the engagement continues on a month-to-month basis until either party gives 30 days' written notice of termination.
3. Palmidos may suspend or terminate services immediately if Client breaches these Terms, fails to pay fees when due, or uses the services for unlawful purposes.
4. Fees paid are non-refundable except as required by law.

Fees and payment

1. Palmidos charges a fixed fee for its services, as agreed in the applicable order. Palmidos never charges a percentage of Client's advertising media spend.
2. Advertising media budget is paid by Client directly to OpenAI (or the relevant ad platform) and is not collected, held, or invoiced by Palmidos.
3. Invoices are due on the terms stated in the order or proposal. Late payment may result in suspension of services.

Ad account, pixel, and data ownership

Client owns its advertising account(s), tracking pixel(s), and all associated data. Client grants Palmidos permissioned, revocable access to these assets solely to perform the services. Palmidos does not claim ownership over Client's ad account, pixel, or advertising data.

No guarantee of results

Advertising performance depends on factors outside Palmidos's control, including platform algorithms, market conditions, and Client's own website and offer. Palmidos does not guarantee any specific outcome, including return on ad spend (ROAS), cost per lead (CPL), lead volume, sales, or any other performance metric. Any projections shared are estimates only.

Client responsibilities

Client is responsible for:

1. Providing lawful, accurate advertising content and complying with applicable advertising and consumer protection laws.
2. Maintaining functional landing pages and providing timely access to necessary accounts and assets.
3. Providing accurate business, billing, and contact information.

Intellectual property

Upon full payment, Client owns the campaign deliverables created specifically for Client under the engagement (such as ad copy, creative assets, and campaign structures). Palmidos retains all rights to its own tools, agents, methodologies, templates, and know-how, whether used before, during, or after the engagement, and nothing in these Terms transfers those rights to Client.

Confidentiality

Each party will keep the other's confidential information private and use it only to perform its obligations under these Terms, except where disclosure is required by law.

Limitation of liability

To the maximum extent permitted by law, Palmidos's total liability arising out of or related to the services is limited to the fees actually paid by Client to Palmidos in the 3 months preceding the event giving rise to the claim. Palmidos is not liable for indirect, incidental, or consequential damages, including lost profits or lost advertising spend.

Governing law and jurisdiction

These Terms are governed by the laws of the State of Israel. The competent courts of Tel Aviv-Yafo have exclusive jurisdiction over any dispute arising out of or related to these Terms.

Changes to these Terms

Palmidos may update these Terms from time to time. The "updated" date above reflects the latest revision. Continued use of the services after a change constitutes acceptance of the updated Terms.
